TERMS AND CONDITIONS FOR PANDORA'S WEBSITES

Please read these Terms and Conditions carefully before using the website(s), (mobile) applications and services offered by Pandora A/S and Panmeas Jewellery LLC ("we", "us", “our”). www.pandora.net/en-ae (collectively, our "Site") and related services are made available to you in accordance with these Terms and Conditions and any other rules posted on our Site (collectively, the "Ts&Cs"). By using the Site and any related service in any way, including (without limitation) visiting or browsing the Site, as well as buying, contributing content, information and other materials or services on the Site, you (or the “user”) agree to be bound by the Ts&Cs, which constitute an agreement between you and us, and you warrant that you have the capacity and ability to agree to the Ts&Cs, and to carry out your obligations as set out in the Ts&Cs. If you do not accept and agree to be bound by the Ts&Cs, you must not register yourself on the Site and must not use the Site or any of our services.

 

In particular, we wish to draw your attention to our privacy policy in Article below (“Privacy Policy”).

 

We may modify the Ts&Cs from time to time (effective immediately), so please check back often. If you do not agree to any change to the Ts&Cs, then you must immediately stop using the the Site and any related service in all respects.

 

You agree that the electronic format of the Ts&Cs does not in any way affect their validity or enforceability, and you agree that we may communicate with you electronically for all aspects of your use of the Site.

REGISTRATION AND PANDORA CLUB

To use some of the services or features made available to you on the Site, such as to become a Pandora Club member, you will need to register. When you register you are required to provide information about yourself that is true, accurate, current, and complete in all respects. Should any of your registration information change, please update this by logging in to your Pandora Club member via the Site account. We may also change registration requirements from time to time.

To register, you must be at least 15 years old. You are responsible for any activity that occurs under your account with us.

The account password you provide should be unique and kept secure, and you must notify us immediately of any breach of security or unauthorised use of your account.

Please refer to our privacy policy in Article below for information about how we use your data. If you are under 21 you must let your parent or guardian know about our privacy policy before you use the Site or any of our services. We reserve the right to only accept registration of users in respect of whom we are satisfied, in our discretion, that the appropriate permission of the parent or guardian has been provided.

Why do we need your personal data?

 

Pandora uses information from our interactions with you and other customers as well as certain third parties to help achieve its goal of providing the highest quality products and services.

Pandora respects the privacy rights of our customers and recognises the importance of protecting the information collected about them. To this end, we have established procedures that ensure your personal data is processed in a responsible manner. This privacy policy informs you about the kind of material we collect and how, the purposes for which we collect and use it, your rights about and options concerning our use of your data, how your data is processed and with whom it may be shared, and for how long we store your information etc. Please read it carefully.

Our Site uses cookies (very small files that are sent by us to your computer or other access device) which we can access when you visit our Site in future.

Website functionality cookies; These cookies enable you to browse the website and use our features such as shopping baskets and wish lists

Please note that if you have created an online profile at our Site, and if you are logged in to this profile, a unique number identifying this profile is also being sent to Adobe in order to be able to match the web analytics data to this profile. Adobe acts as our agent, which means that we solely determine the purposes for which the data is being used, and that Adobe will not disclose the information to any third parties (except when required to do so by law or court order). In privacy terms, this means that Pandora A/S is the “controller” and Adobe the “processor”. If you do not wish for information about your behaviour on our Site to be collected and assessed by Adobe, you can apply for a visitor opt-out. This means that Adobe, depending on the type of opt-out you choose, will either anonymise the information it collects (but keep collecting the data) or completely stop collecting information about your visit. This visitor opt-out requires for you to accept a cookie being stored on your computer by Adobe. We offer location-enabled services within our Site, such as Google Maps and Bing Maps. If you use those applications, they may receive information about your actual location (such as GPS signals sent by a mobile device) or information that can be used to approximate a location. You can generally enable or disable your location services in your device or browser settings.

We use Google Maps service or Bing Maps service to assist you in finding a Panmeas Jewellery LLC store. To facilitate this, we load an image from Google Maps or Bing Maps, saving the route data and map image on our server. We may use your personal information in particular:

- to communicate with you and provide information and materials to you, including information of an administrative nature, at the email address you provide to us when you register;

- to verify your identity and to respond to any query you may raise with us; to process your request and provide you with the best service possible;

- to provide support during purchases of Pandora products;

- to carry out our obligations arising from the Ts&Cs and the contract entered into between you and us;

- to administer and maintain our records and for device analytics;

- to prevent and/or detect any misuse or fraud; and

- with your permission, we may contact you directly through the details provided by you for marketing, advertising and market research purposes. For example, this includes our newsletter, information related to Pandora products, e-commerce activities, special offers and promotions, as well as information on local store openings and activities. In order to be able to contact you with information that is of special interest to you, your overall interaction with Pandora (such as, but not limited to, your shopping behaviour, your contact history with our customer service, your participation in promotions or events, will be jointly analysed and used. We may use your personal data for marketing, advertising and market research purposes. Below you will find information on your rights, e.g. how to withdraw your consent or amend your personal details.

If you provide us with the personal data of another person, please make sure that you have the right to share this information with us before you do so.

Our Site uses re-targeting technologies. This enables us to advertise directly to our users, who were already interested in our shop and our products, from our partners’ websites. We believe that the display of a personalised, interest-based advertising is more interesting for our customers than advertising that does not have any personal connection.  We also work with other companies who use tracking technologies to serve ads on our behalf across the Internet. These companies may collect information about your visits to our Site and your interaction with our communications, including advertising. Re-targeting technologies analyse your cookies and display advertisement based on your past surfing behaviour.

How is the collected data processed?

 

The processing of your personal data will be carried out using electronic tools. The processing will take place as necessary for the execution of the contract between you and us, or for the execution of pre-contractual measures adopted at your request. The provision of your data is necessary for the pursuit of the aforementioned purposes, and therefore any refusal of it would make it impossible to implement the purpose for which the personal data are collected.

The information provided to us by you and any other personal data collected by Pandora during communications with you will be kept for a period of up to 3 years.

Who controls the data?

 

Your personal data will be collected, stored and processed, (subject to the above) by Pandora A/S , a public company listed on the Nasdaq Copenhagen stock exchange with registered office at Havneholmen 17-19 Copenhagen V, 1561 Denmark .

We take the appropriate technical and organizational measures to protect personal data against accidental or unlawful destruction, loss, alteration, unauthorised use, disclosure or access, in particular where processing involves the transmission of data over a network, and against all other unlawful forms of processing and misuse.

Disclosure of personal data

 

Treating your data with the utmost care and confidentiality is one of our core values. If required by law, your data may be disclosed to third parties. In addition, we employ service providers and data processors to process data on our behalf. These services include authentication, maintenance services, analysis services, e-mail messaging services, gift services, delivery services, handling of payment transactions, solvency, address and e-mail checks. These third parties are our data processors, payment service providers used to facilitate payment for your purchases, and couriers responsible for carrying out delivery to you, and they may only process personal data to the extent necessary in order to deliver their services.

Some of our data processors and payment service providers are situated outside the United Arab Emirates. Consequently, we may share your personal data with countries outside the United Arab Emirates. However, we will only provide this information on the basis of the recipient fulfilling the applicable requirements.

Unfortunately, transmission of information via the Internet is not wholly secure. Although we do our utmost to protect your personal data, we cannot guarantee the security of your data transmitted via electronic means; any transmission is done so at your own risk. Once we have received your information, we employ strict procedures and rigid security measures to try to prevent unauthorised access.

We may disclose your information to the extent that we are duty-bound to disclose or share your personal data in order to comply with any legal obligation or the directions of the Court or any other body of competent jurisdiction, or in order to enforce or apply our privacy policy and other agreements; or to protect the rights, property or safety of Pandora, our employees, our customers or others. This includes exchanging information with other companies and organisations for the purposes of fraud protection and credit risk reduction.

Your rights

 

The personal data you provide to us is done so on an entirely voluntary basis. If you choose not to provide requested information, various user benefits may not be available to you. In certain cases, only those who have submitted to us the required personal data are able to order products, use certain services and in other ways avail themselves of the activities and offers made available by us. We provide numerous options, depending on the exact circumstances, in order to help you retain control over your data. These options may include editing your data or receiving information about the data held.

When you register, you will be given the option to opt-out of subscribing to our regular update service which will send you email alerts for new products, features, special offers, contests, events of interest, and one-off marketing promotions.

Marketing communications you subscribe to will only be sent by us or our authorised third party service providers.

LOYALTY CARDS

The Pandora Loyalty Card is a printed loyalty card available to Pandora Club members, which allows users to collect ‘stamps’ each time a purchase of our products is made in any Panmeas Jewellery LLC store in the United Arab Emirates, to be redeemed against certain Pandora jewellery items. Please refer to our Pandora Loyalty Card terms and conditions found here for more information.

INTELLECTUAL PROPERTY RIGHTS

We and Pandora A/S, whose address is: Havneholmen 17-19, DK-1561 Copenhagen V, Denmark, reserve all intellectual property rights with respect to any articles, moving images, graphics, photographs (including (without limitation) all image rights), sounds, music, video, audio or text on the Site, excluding Your Content (as defined below), (“Our Content”).

Your use of the Site and any related services grant no rights to you in relation to any copyright, designs, trademarks and all other intellectual property and material rights relating to Our Content, including our software and all HTML and other code contained in this Site. All Our Content including third party trademarks, designs, and related intellectual property rights mentioned or displayed on the Site are protected by national intellectual property and other laws and international treaty provisions.

 

You are allowed to produce digital and/or physical copies of Our Content for your own personal use. Any other production of digital or physical copies of Our Content is not allowed.

You are permitted to use Our Content only as expressly authorised by us or our third party licensors. Any reproduction or redistribution of Our Content is prohibited and may result in civil and criminal penalties. Without limiting the foregoing, copying and use of the above listed materials to any other server, location or support for publication, reproduction or distribution is expressly prohibited. However, you are permitted to make one copy for the purposes of viewing Our Content for your own personal use.

Your Content

 

Some parts of the Site give you the option to post comments and make other contributions.

You are responsible for your use of the Site, for any information, text, graphics, photos or other materials which you upload or post to the Site and for any consequences thereof (collectively “Your Content”). You are only allowed to submit Your Content in English or Arabic, and no aspect of Your Content may contain commercial messages. Any of Your Content in a language other than English or Arabic will be deleted by our moderators. You should only provide content that you are comfortable sharing with others under the Ts&Cs. It is your responsibility to ensure that you have the right to publish all aspects of Your Content.

Should we receive any complaint or claim relating to Your Content, we will forward the same to you at the email address provided when you registered, and we will not be responsible or liable for the same. At our request, you agree to compensate us fully, defend us, and hold Pandora A/S and Panmeas Jewellery LLC harmless immediately on demand, its officers, directors, agents, affiliates, licensors, and suppliers, from and against all liabilities, claims, expenses, damages and losses, including legal fees, arising from Your Content.

Your Content may be moderated and may take up to 72 hrs to be displayed but we do not commit to checking all content and will not be liable for the same. Any use or reliance on Your Content, or content provided by any party other than us (such as other users) (“Other Content”) or obtained by you through the Site is at your own risk. We reserve the right, in our sole discretion, not to publish or to remove any of Your Content or Other Content that we believe may be unlawful, defamatory, racist or libellous, incite hatred or violence, detrimental to people, institutions, religions or to people's privacy, contrary to public morals, customs, practices or beliefs, which may cause harm to minors, is detrimental to the trade marks, patents and copyrighted content, contains personal data or improperly uses the medium for promoting and advertising businesses.

We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of Other Content or endorse any opinions expressed via the Site. You understand that by using the Site, you may be exposed to Other Content that might be offensive, harmful, inaccurate or otherwise inappropriate, or in some cases, postings that have been mislabelled or are otherwise inaccurate or deceptive. You retain your rights to Your Content. We reserve the right at all times (but will not have an obligation) to remove or refuse to distribute any of Your Content, to suspend or terminate users, and to reclaim usernames without liability to you. We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce the Ts&Cs, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property or safety of our users and the public.

You may not do any of the following while accessing or using the Site: (i) access, tamper with, or use non-public areas of the Site, our computer systems, or the technical delivery systems of our providers; (ii) probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures; (iii) access or search or attempt to access or search the Site by any means (automated or otherwise) other than through our currently available, published interfaces that are provided by us (and only pursuant to the Ts&Cs), unless you have been specifically allowed to do so in a separate agreement with us; (iv) forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use the Site to send altered, deceptive or false source-identifying information; or (v) interfere with, or disrupt, (or attempt to do so), the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, mail-bombing the Site, or by scripting the creation of Your Content in such a manner as to interfere with or create an undue burden on the Site.

When posting Your Content, you agree not to make comments that are not factual in nature including, without limitation, making any racist, defamatory, or otherwise offensive comments, using profanity, abusing another user, disrespecting another culture or any other derogatory or inappropriate comments, or violating anyone’s privacy or breaching any applicable law.

YOUR ACTIVITY

You agree that you will be personally responsible for your use of this Site and for all of your communication and activity on and pursuant to this Site. If we determine that you are or have been engaged in prohibited activities, were not respectful of other users, or otherwise violated the Ts&Cs, we may deny you access to this Site on a temporary or permanent basis.

THIRD PARTY SITES

We may include hyperlinks on the Site to other websites or resources operated by parties other than Pandora A/S or Panmeas Jewellery LLC, including advertisers. We have not reviewed all of the sites linked to the Site and we are not responsible for the content or accuracy of any off-Site pages nor are we responsible for the availability of such external websites or resources, and do not endorse and are not responsible or liable, directly or indirectly, for the privacy practices or the content of such websites, including (without limitation) any advertising, products or other materials or services on or available from such websites or resources, nor for any damage, loss or offence caused or alleged to be caused by, or in connection with, the use of or reliance on any such content, goods or services available on such external websites or resources.

LIMITS ON OUR LIABILITY

We accept liability for death and personal injury arising from our negligence or that of our employees and agents. We do not seek to exclude our liability for fraudulent misrepresentation by us or our employees or agents.

Nothing in the Ts&Cs is intended to affect your rights under applicable law.

If we breach the Ts&Cs we shall only be liable for losses which are direct losses and a reasonably foreseeable consequence of such a breach. Losses are foreseeable where, for example, they could be contemplated by you and us at the time in question.

We are not responsible for losses which are not caused by our breach or negligence, indirect losses which are a side effect of the main loss or damage and which are not reasonably foreseeable by you and us (for example, loss of profits or loss of opportunity).

We are not liable to you for any failure, breach or any delay of any nature whatsoever that is caused by any event or circumstance beyond our reasonable control including (without limitation), strikes, lock-outs and other industrial disputes, breakdown of information, communication, technology systems or network access, flood, fire, explosion or accident.

We are also not responsible for failure to meet any of our obligations under the Ts&Cs where such failure is due to events beyond our reasonable control or where due to inaccurate, misleading or untruthful information being provided by you.

COMPENSATION

At our request, you agree to compensate us fully, defend us, and hold Pandora A/S and Panmeas Jewellery LLC harmless immediately on demand, its officers, directors, agents, affiliates, licensors, and suppliers, from and against all liabilities, claims, expenses, damages and losses, including legal fees, arising from any breach of the Ts&Cs by you, including the use by any other persons accessing this Site using your internet account caused by your action or inaction, your use or misuse of the Site, your violation of any third party’s intellectual property rights or any dispute you may have with any other user of the Site.

OUR RELATIONSHIP

You acknowledge and agree that no joint venture, partnership, employment, or agency relationship exists between you and us as a result of the Ts&Cs or your use of the Site. You agree that you may not and will not hold yourself out as our representative, agent, or employee, and we shall not be liable for any representation, act, or omission on your part.

The Ts&Cs constitutes the entire understanding between us and you with respect to the subject matter of the Ts&Cs and supersedes all prior agreements, negotiations, correspondence and discussions between the parties relating to it.

If any part of the Ts&Cs becomes invalid, illegal or unenforceable, the offending terms of the Ts&Cs shall be considered removed from the Ts&Cs and the remaining terms shall continue with full force and effect.

NO WAIVER

If you breach the Ts&Cs and we take no action against you, we will still be entitled to use our rights and remedies in any other situation where you breach the Ts&Cs.

COMPLAINTS, GOVERNING LAW AND DISPUTE RESOLUTION

These Ts&Cs are governed by and construed in accordance with the law of the Dubai International Financial Centre, United Arab Emirates (“DIFC”). In the event of any dispute between you and us, we will first attempt to resolve the dispute amicably and in good faith. If that it is not possible, either we or you may refer the dispute to be finally settled by the DIFC courts.
